The 15th AFC Micro Salon will be held on the premises of La fémis Film School in Paris (La fémis, 6, rue Francœur – Paris 18e – Near Montmartre) on friday 6 (10 AM – 21 PM) and saturday 7 (10 AM – 18 PM) february 2015.
Dedicated to cinematography and moving images creation, both days will once again be the annual “rendez-vous” where manufactures, suppliers and their users will meet in a convivial environment to discuss the latest innovations.

Ymagis’ combined ordinary and extraordinary shareholders’ meeting held in Paris on Monday 20 October 2014, with a quorum of 79.05%, voted overwhelmingly in favour of all resolutions submitted by the Board of Directors, giving final approval to Ymagis’ acquisition of dcinex.

CREATION OF THE EUROPEAN LEADER IN DIGITAL TECHNOLOGIES FOR THE CINEMA INDUSTRY
With the acquisition of dcinex, Ymagis has completed a deal that will create a European leader in the supply of financial and technological services for the cinema industry.
Following the acquisition Ymagis will become :
the financer of the largest network of cinemas in Europe operated under VPF contracts with almost 5,800 screens in 14 European countries;
the European leader in the sale and installation of cinema equipment to cinema exhibitors, with an estimated European market share of 20%;
the operator of the largest European network for the digital delivery of content, with more than 3,200 connected cinemas in 15 countries in Europe;
the technical partner of the largest network of cinemas in Europe benefiting from NOC (Network Operating Center) services and maintenance contracts, with almost 7,200 screens (out of around 36,000) under contract in 21 countries.
INTEGRATION ALREADY UNDERWAY
The Ymagis and dcinex teams are already actively working to integrate the two groups and to build synergies and economies of scale. These efforts will start to have an impact from 2015.
Significant progress has already been made commercially.
With strong positions in European across all businesses, Ymagis is currently in advanced discussions with several distributors to explore pan-European partnerships for digital delivery of all cinema content to cinema exhibitors.
Ymagis has also recently announced the marketing launch of the new version of its TMS suite (Theatre Management System), available on a licensed or SaaS subscription basis. TMS helps exhibitors to optimise film scheduling and facilities management, for one or more cinemas and is currently in use under NOC services contracts in a large portion of the Ymagis cinema network operated under VPF contracts. The combined entity’s teams are already marketing the solution to dcinex’s exhibitor customers.
ALL RESOLUTIONS PASSED BY MAJORITY VOTE
Ymagis’ shareholders voted overwhelmingly in favour of all resolutions at the combined ordinary and extraordinary shareholders’ meeting of 20 October 2014.
The ordinary resolutions approved at the meeting included :
The appointment of Sparaxis SA (SRIW Group(1)), represented by Mr. Eric Bauche, as member of the Ymagis Board of Directors;
The appointment of EVS Broadcast Equipment SA(1), represented by Mr Pierre Rion, as a non-voting member of the Ymagis Board of Directors.
And the following extraordinary resolutions:
The valuation of 39,871 dcinex shares and 17,086 dcinex warrants tendered by dcinex shareholders to Ymagis;
The issue, as part of the payment for the dcinex shares and warrants, of 699,379 new Ymagis shares representing a capital increase with a nominal value of €174,844.75 and €5.7m including the issue premium.
The issue, as part of the payment for the dcinex shares and warrants, of 94,477 equity warrants (obligations à bons de souscription d’actions – OBSA) representing a bond with a principal amount of €15.4m.
In addition to these securities, the balance of the payment to dcinex shareholders for the acquisition of 100% of capital and voting rights will be made through a cash payment of €5m, for a total of €26.1m.
Pursuant to Article L 233-8-1 of the French Commercial Code (Code de commerce), Ymagis informs its shareholders that the total number of real voting rights(2) at the annual shareholders’ meeting of 20 October 2014 was 10,993,205.

Gimv, EVS Broadcast Equipment SA and SRIW are three major shareholders of dcinex.

EVS Broadcast Equipment, le spécialiste mondial des systèmes de production vidéo en direct, annonce avoir conclu la vente de sa participation de 41,3% dans dcinex à Ymagis, avec effet le 20 octobre 2014.

Selon l’accord, EVS reçoit :
2.1 millions € en cash (1,6 million € après déduction de tous les frais et commissions associés à la transaction).
288 851 nouvelles actions Ymagis.
6,4 millions € en obligations Ymagis, avec une maturité maximale de 5 ans. Ces obligations sont associées à des warrants.
Au total, ces différents éléments représentent approximativement 10,0 millions € pour EVS (au cours de bourse de clôture d’Ymagis de 6,89 €). Au 30 juin 2014, dcinex était valorisé à 7,9 millions € au bilan d’EVS.
En outre, dcinex remboursera les prêts existants octroyés par les actionnaires. Aujourd’hui, le prêt octroyé par EVS (y compris les intérêts) s’élève à 1,5 million € (dont 1,4 million € payé à la clôture de la transaction).
Francis Fourneau, l’exploitant du multiplexe Ciné Lumière de Vierzon revient sur deux ans d’équipement de ses salles en projecteurs Sony Digital Cinema 4K.
Passionné de cinéma, fils d’exploitant, ce professionnel a toujours été baigné dans le milieu de la projection et connait parfaitement ce métier. Au Printemps 2012, il décide d’équiper les 7 salles de son multiplexe avec des projecteurs SRX R320 4K Sony Digital Cinema. En effet, les conseils pris auprès de ses pairs et les visites de plusieurs salles équipées en 4K Sony Digital telles que le Studio 24 à Montmartre ou encore le Club Lincoln dans le 8ème arrondissement de Paris, l’ont totalement convaincus de la qualité et de la précision des images.
Aujourd’hui, au-delà de la qualité d’image largement appréciée par le public, l’exploitant a réalisé des économies significatives. Les lampes des projecteurs SRX R320 Sony 4K offrent une luminosité accrue à puissance équivalente par rapport à celles des autres projecteurs équipés de la même technologie. Ces deux avantages lui ont ainsi permis de faire des économies d’énergie mais aussi d’éviter l’installation de la climatisation dans ses cabines de projection, un coût non négligeable.
Après 2 ans d’installation, je ne regrette absolument pas mon choix et je recommanderais les yeux fermés à n’importe quel exploitant de salle de cinéma de s’équiper également en Sony 4K. L’investissement est vite rentabilisé grâce aux économies faites sur les coûts de fonctionnement et la satisfaction des clients », Francis Fourneau.
La société R2D1, partenaire agréé Sony Digital Cinema a été missionnée pour l’installation et la mise en œuvre de l’équipement.
Après 12 mois de travaux du groupe de normalisation Afnor S204, l’Afnor annonce que la publication des versions mises à jour des normes Afnor NF S 27001 « Caractéristiques dimensionnelles des salles de spectacle cinématographique » et NF S 27100 « Salles de projection cinéma numérique » seront publiées le 24 septembre 2014, avec une date de mise en application le 24 octobre 2014.
La révision de la norme Afnor NF S 27001 repose sur la clarification d’un certain nombre de points sujets à interprétation. Elle permet de simplifier certains calculs et de préciser des dispositions en tenant compte de l’évolution des modes de consommation du cinéma.
La révision de la norme NF S 27100 intègre l’ensemble des expériences acquises dans la projection numérique des films depuis la publication de la 1ère version en 2006. Les méthodologies sont affinées, les valeurs cibles mises en cohérence avec les nouveaux outils et les nouveaux besoins, la partie audio complétée de critères plus précis.
Avec ces nouvelles versions, les exploitants, les architectes, les installateurs d’équipements de projection disposent d’outils permettant d’assurer la qualité du confort du spectateur et la qualité de la projection des images et de la reproduction des sons avec les outils de la projection numérique, dans le respect des œuvres cinématographiques.
